In these cases, Periculum will assist entrepreneurs with the development of the business model and operating plans as well as the capital financing strategy for the company. In these engagements, we privately place initial rounds of capital for the company with accredited investors or institutions including the investment of Periculum's capital.

Spin-outs

Periculum has arranged a number of spin-out transactions where corporate support and financing is not sufficient to capitalize on a developing market opportunity. Spin-out transactions can relieve shareholders of a financing burden as well as unlock capital for other more strategic uses. We have performed spin-out transactions in the technology sector as well as more mature industrial segments. Periculum will typically serve as a principal in spin-out or split-off transactions. We often help develop or refine the business plan, negotiate the terms of the transaction, and arrange the financing.
