SENIOR DEBT

 Raising money is never easy, especially when you need it. Today there is a wide variety of terms and structures available from different senior lenders. Periculum’s objective is to both uncover untargeted senior lenders and, through a broad marketing effort, encourage pricing tension amongst lenders to secure the best possible terms for our clients.

Periculum is constantly in the market for capital, and we know who is looking for business and who is not. We also know that your needs are unique, so we work carefully to craft a debt transaction and a relationship with a lender that fits with your objectives – both strategic and financial.

SUBORDINATED DEBT

Periculum works up and down the right side of the balance sheet, including subordinated debt from traditional and the growing non-traditional subordinated debt providers including hedge funds, private equity funds and mezzanine funds. Periculum’s experience includes basic refinancings, acquisition financings, dividend recapitalizations, turnaround financings and management buyout financings.

The subordinated debt market changes even more rapidly than the senior lending market. Periculum’s constant presence in this market provides insights no company, accountant or lawyer could obtain on their own. This allows Periculum to identify those lenders most advantageous to getting a deal done with an appropriate structure and terms.

INSTITUTIONAL EQUITY

Because of our rigorous standards, investors know us and have confidence we select only strong, financeable management and companies. Our deals work, which means not just getting a deal closed but also building a successful relationship between investors and a private company with a long-term view.

REGULATION D OFFERINGS

Periculum has a great deal of experience providing early-stage advisory and fundraising services to highly opportunistic companies we believe have the potential to develop entirely new markets or significantly disrupt legacy markets. 

Early-stage, or seed-stage, financings take the form of the Regulation D Offerings whereby unregistered securities are sold to institutional or accredited individual investors. Periculum has developed a significant network of institutions and high-net worth individuals who trust our judgment and are willing to play in this market when we are involved.
