Over the past decade, the owners of Machine Drive Company (Machine Drive) transformed their business from a low value-added distributor of power and logic components for manufacturing and warehousing systems to a company that incorporates engineering and assembly solutions into its distribution services, greatly enhancing and differentiating the value to its customers. Although the owners had grown the Company successfully, they realized their business model provided for substantial further growth and decided to seek a strategic partner to help Machine Drive reach its full potential. The Company selected Periculum Capital Company, LLC (Periculum) as its exclusive advisor to assist them in seeking the partner.
Periculum initiated a nationwide marketing effort sourcing potential strategic acquirers who were looking to expand their distribution model to include a high value-added component and would allow the owners of Machine Drive to be an integral part of its business, post acquisition. After discussions and proposals from several strategic buyers the Company decided B.W. Rogers Company, a distributor of industrial control products based in Akron, Ohio, was the most appropriate partner to help the owners grow the business while allowing them to maintain their established corporate identity.
